Terms and Conditions

This form sets out terms which Masterpoint Engineering Limited ("Masterpoint") will provide telecommunication services (the "Services") to you.  The call prices shown in Masterpoint Literature are an integral part of these terms and conditions and can be obtained from the Customer Services or the website at www.uolhelp.co.uk.  The description of any service in these documents does not impose any obligation upon Masterpoint to provide Services other than the Masterpoint Services described below.  The Masterpoint Services are provided to you upon the following terms and conditions:

1.    (a) For the purpose of ensuring consistency in the terms on which the Services are provided by Masterpoint to its customers and subject to 1 (b), Masterpoint may vary these terms by providing notice to you via their Website
(b) Masterpoint may vary any charges or rates, or charge you any taxes or duties imposed in relation to the Services at any time by prior notice to you.  Such notice may take effect immediately, or on the date specified in the notice.  You can request details of our prices at any time.  All prices include VAT unless otherwise stated.
(c) Masterpoint will charge you for the Services in accordance with relevant terms, tariffs, rules and charges applying at the time the Services are used.
(d) If your debit or credit charge is revoked by your credit/debit card provider without the prior written consent of Masterpoint we reserve the right to reapply these charges and to levy an administration charge of up to £20 per revoked transaction at our sole discretion.
(e) Notice of all charges mentioned in (a) to (d) above will be given by placing notices and/or leaflets in Masterpoint Literature or on the uolhelp.co.uk website

2.    In order to provide the Services to you, Masterpoint may select and at any time change any carrier or other Service provider.

3.    Masterpoints’ nominated Service provider will hold your telephone number and credit card details (if applicable) only to the extent necessary to enable them to provide the Services to you and as required by law.

4.    Services are made available to you on condition that you do not re-supply or resell or make Services available to any person on a commercial basis, and that you do not use, nor allow others to use, the Services for any improper or unlawful purpose or in any manner which is offensive or unlawful.

5.    Masterpoint will, without notice, immediately terminate any call or the provision of Services as soon as the credit funds on your account are exhausted by the cost of Services provided to and used by you.

6.    Masterpoint shall not be liable to you if it is prevented, hindered or delayed from providing the Service by any event or circumstance beyond its reasonable control including, without limitation, the act or default of any third party on whom Masterpoint is reliant to provide the Services.  If the services remain unavailable for 3 months, Masterpoint will refund the remaining credit funds on your account.

7.    Nothing in these terms is intended to exclude or restrict or shall have the effect of excluding or restricting any liability on the part of Masterpoint for fraud or for death or for personal injury resulting from its negligence.

8.    While Masterpoint will endeavour to provide Services of a reasonable quality, via the public switched telephone and other networks, Masterpoint does not guarantee the quality of the Services.  Masterpoint does not provide a maintenance service.

9.    Masterpoint or its agent will charge you for all Services supplied by Masterpoint to the Service number nominated by you.  There is a minimum charge per call, which is shown on the tariff displayed on our website.  Services are charged in one Minute increments with partial Minutes of usage rounded up to the next full Minute.  Call charges are rounded up to the nearest penny.

10.    Charges for prepaid Services supplied by Masterpoint will be deducted from the credit balance of your account during the call.

11.    Masterpoint may suspend and/or disconnect your Services at their discretion without prior notice:
(a)    if you breach any of these terms and conditions;
(b)    if any Service provider is unable or unwilling, or Masterpoint is unable, for any reason including any act or omission of any Service provider, to supply or provide a Service or Services;
(c)    if you do not use the Services for 12 consecutive months.
(d)    In the case of (b) Masterpoint will refund any remaining credit funds on your account.

12.    If you have an observation or complaint regarding the Services you may contact our helpline (0870 444 5816).

13.    You may also refer any complaints regarding the Services to OFCOM.

14.    These terms and conditions shall be governed by and interpreted in accordance with English law, and the English courts shall have jurisdiction to resolve any disputes between us.
